Terms of Service

1. Acceptance of Terms

By accessing or using the SAAS.PROJECT platform ("Service"), operated by UNTH.AI ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

You must be at least 16 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

SAAS.PROJECT is an AI-powered SaaS platform designed for e-commerce businesses. The Service provides access to 9 autonomous AI agents that perform tasks including but not limited to content creation, marketing automation, customer support, analytics, inventory management, and business optimization.

The Service is available via:

• Web Dashboard — A browser-based interface for managing agents, viewing reports, and configuring settings.
• REST API — Programmatic access for integration with your existing systems (available on Pro and Business+ plans).
• MCP Server — Machine-to-machine protocol access (available on Business+ plans).

Agents operate autonomously on a 24/7 basis and deliver weekly performance reports. The specific capabilities and processing speed may vary depending on your subscription plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You agree to:

• Provide truthful and up-to-date registration information.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized access to your account.
• Maintain only one account per person. Creating multiple accounts to circumvent plan limits or abuse free trials is strictly prohibited.

You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription & Billing

The Service is offered under the following subscription plans:

• Essentials — $79 per month (or $66/month billed annually at $792/year).
• Pro — $139 per month (or $116/month billed annually at $1,392/year).
• Business+ — Custom pricing. Contact sales for details.

Annual billing saves approximately 17% compared to monthly billing.

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring basis (monthly or annually) until you cancel.

Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date. We will provide at least 30 days' written notice (via email) before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial

We offer a 7-day free trial that provides full access to all 9 AI agents and platform features. The free trial:

• Does not require a credit card to start.
• Grants access to all agents and dashboard features.
• Expires automatically after 7 days with no automatic charges.

At the end of the trial period, your agents will pause and you will be prompted to select a subscription plan. No payment will be collected unless you actively choose to subscribe. Each person is entitled to one free trial only.

6. BYOK (Bring Your Own Key)

Available on Pro and Business+ plans, the Bring Your Own Key (BYOK) feature allows you to provide your own API keys for supported AI providers (such as OpenAI, Anthropic, or Google).

When using BYOK:

• You are solely responsible for any costs incurred on your AI provider accounts.
• We encrypt all API keys at rest using industry-standard encryption.
• We transmit your keys only to the designated AI provider endpoints and do not store prompt/response data beyond what is needed to deliver the Service.
• We are not liable for charges, rate limits, suspensions, or any other actions taken by your AI provider as a result of usage through our platform.
• You are responsible for ensuring your API keys comply with your AI provider's terms of service.

7. Acceptable Use

You agree not to use the Service for any purpose that is unlawful, harmful, or otherwise objectionable. Specifically, you shall not:

• Use the Service for any illegal activity, including fraud, harassment, or distribution of harmful content.
• Abuse AI agents by submitting prompts designed to generate harmful, misleading, or illegal content.
• Engage in automated scraping or data extraction beyond the normal scope of agent-generated reports and analytics.
• Resell, sublicense, or redistribute the Service or agent outputs to third parties without a Business+ plan with explicit written authorization.
• Attempt to reverse engineer, decompile, or disassemble any part of the platform, its agents, or underlying models.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Circumvent any technical limitations, rate limits, or access controls.

We reserve the right to suspend or terminate your account immediately if we determine, at our sole discretion, that you have violated this section.

8. Intellectual Property

Our Property

The Service, including all software, algorithms, agent architectures, user interfaces, designs, trademarks, and documentation, is the exclusive property of UNTH.AI and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly set forth herein.

Your Property

You retain full ownership of all data, content, and materials you upload to the Service ("Your Content"). You also own all content generated by AI agents on your behalf as part of the Service ("Generated Content"), subject to any third-party intellectual property rights and applicable AI provider terms.

You grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you.

9. Data & Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you grant us a limited, non-exclusive, revocable license to process your data as necessary to provide, maintain, and improve the Service. This includes processing data through AI agents to generate reports, content, and recommendations on your behalf.

We do not sell your personal data to third parties. For details on data retention, security measures, and your rights, please refer to our Privacy Policy.

10. AI Agent Limitations

Our AI agents operate autonomously and are designed to assist your e-commerce business. However, you acknowledge and agree that:

• AI agents are not infallible. They may produce inaccurate, incomplete, or suboptimal results.
• You should review weekly performance reports and monitor agent activity regularly.
• We are not liable for business decisions made based solely on agent recommendations or outputs.
• Agent performance may vary depending on the quality of input data, third-party integrations, and external factors beyond our control.
• AI-generated content should be reviewed before publication, particularly for accuracy, compliance, and brand alignment.

The Service is a tool to assist your business operations, not a replacement for professional judgment. You remain solely responsible for all business decisions.

11. Uptime & SLA

We target 99.9% uptime for the core platform (dashboard, API, and agent processing). This target excludes:

• Scheduled maintenance windows (announced at least 48 hours in advance).
• Downtime caused by third-party integrations, APIs, or services beyond our control.
• Force majeure events.

Business+ tier subscribers receive a formal Service Level Agreement (SLA) with defined uptime commitments and service credits for downtime exceeding agreed thresholds. Contact your dedicated account manager for SLA details.

We do not guarantee uninterrupted availability of third-party integrations (e.g., Shopify, social media platforms, payment processors). Disruptions to third-party services are outside the scope of our uptime commitments.

12. Cancellation & Refund

Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation:

• Your agents will continue to operate until the end of your current billing period.
• After the billing period ends, your agents will pause and your account will revert to a read-only state.
• Your data will be retained for 90 days after cancellation, after which it may be permanently deleted.

Refund Policy

• Annual plans: 30-day refund policy from the date of purchase or renewal. After 30 days, you may receive a pro-rated refund for unused full months remaining on your annual term.
• Monthly plans: No refund for the current billing period. Your access continues until the end of the period.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of the theory of liability.
• We are not liable for losses arising from reliance on AI agent outputs, interruptions to third-party services, or unauthorized access to your account resulting from your failure to secure your credentials.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Indemnification

You agree to indemnify, defend, and hold harmless UNTH.AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Content you upload to or generate through the Service that infringes on third-party rights.
• Your use of BYOK API keys in violation of your AI provider's terms.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Provide at least 30 days' notice via email to the address associated with your account.
• Update the "Effective Date" at the top of this page.
• Post the revised Terms on our website.

Your continued use of the Service after the 30-day notice period constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Bangkok, Thailand, in accordance with the rules of the Thailand Arbitration Center (THAC). The arbitration shall be conducted in English.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
